This Aurora User Service Agreement (including all the amendments, supplements and additional terms thereto, hereinafter referred to as “this Agreement”) is entered into by and between the user (the “User”, also referred to as “you”) and Shenzhen Hexun Huagu Information Technology Co., Ltd. (深圳市和讯华谷信息技术有限公司) and its affiliates (hereinafter referred to as “Aurora” or “us”) for your use of the services provided by us. Please carefully read, fully understand and abide by this Agreement before using the services provided by us and choose whether to agree to this Agreement after reading it. If you do not agree to this Agreement, please terminate your registration as a User of the Aurora Platform. After terminating the registration, you will not be able to use the services provided by us. This Agreement is established and effective from the date you register as our User. From the date you become a User of the Aurora Platform to the date you notify us to cancel your Account in the manner agreed upon in this Agreement, this Agreement shall comprehensively govern and stipulate the rights and obligations between you and us. We will provide our services to you strictly in accordance with this Agreement.
In addition to this Agreement, the Aurora Platform will also publish other rules and policies, such as the 《Aurora Developer Service Agreement 》 and the 《Aurora Privacy Policy》 For such other rules and policies published by the Aurora Platform, the relevant rules and policies shall prevail, and for matters not mentioned in such other rules and policies, this Agreement shall prevail.
We reserve the right to amend this Agreement from time to time as needed and post the amended agreement on our relevant interface. Please pay attention to the changes of this Agreement from time to time. If you continue to use our services after the change of the content of this Agreement is announced, it is deemed that you have fully read, understood, and accepted the amended content and used our services; if you do not agree with the content of the amended Agreement, you should stop using our services immediately.
Our website is only intended for natural persons over the age of 18 with full capacity for civil conduct and corporate legal persons or other organizations legally registered and validly existing in accordance the laws of their domiciles and capable of performing their obligations under this Agreement. If you are not eligible, please do not continue to use the services we provide, and we have the right to terminate the services provided to you at any time.

一、Definition
- 1. Aurora Platform: means the Aurora Service Platform ( www.jiguang.cn ) owned, controlled and operated by us.
- 2. you or User: means a natural person over the age of 18 with full capacity for civil conduct, or a legal person or other organization legally registered and validly existing in accordance with the laws of its domicile and capable of performing the obligations under this Agreement.
- 3. Your End Users: means the end users who use your products and/or services.
- 4. Aurora Service: a general term for the data analysis and statistics, technical support and other services based on the Internet developed and operated by Aurora.
- 5. Account: means the Aurora account used to receive Aurora Services after you log into the Aurora account registered in your own name.
二、Account Registration and Security
1. Account Registration
When you read and agree to this Agreement, fill in the relevant information and register, you will become a User of the Aurora Platform.
In order to provide you with the relevant services, you should provide your name, email address, and mobile phone number in accordance with our requirements truthfully, accurately and effectively so that we can communicate with you.
In order to ensure the validity of the information you provide, you should timely update the relevant information when it changes. According to relevant legal requirements, we will check the information you provide accordingly to ensure its timeliness, authenticity and integrity. If we fail to contact you based on the information you provide, you will be liable for the adverse consequences caused thereby.
Aurora is not responsible for any problems caused by untrue registration information or untimely updates of such information. You can check and correct your information through the Aurora Account setting page. You should authenticate the registered account with your real identity information, and the account name, profile picture and other registration information you submit should not contain illegal or objectionable information. Aurora will not register your account if the above conditions exist after the Aurora’s review; meanwhile, after registration, if you are found to have fraudulently registered your Account name with false information or your profile picture, account profile and other registration information has illegal and objectionable information, Aurora has the right to unilaterally take measures, without notice, such as correction within a time limit, suspension of use, and termination of Account. After you fill in the information as prompted on the registration page, read and agree to the terms and conditions of this Agreement and complete all the registration procedures, you can obtain an Aurora Account and become an Aurora User.
2. Use of Account
Your Aurora Account is only for your own use because your Aurora Account is associated with your personal information, enterprise information and business information of Aurora. Without Aurora’s consent, your direct or indirect authorization to a third party to use your Aurora Account or to access information under your Account is void. If Aurora determines that the use of your Aurora Account may jeopardize the security of your Account and/or the security of Aurora’s information in accordance with the default determination procedures and standards set forth in the Aurora Platform rules, Aurora may refuse to provide the relevant services or terminate this Agreement. If you use a third-party Account to access Aurora Services, the third-party Account will be associated with your Aurora Account and Aurora will use your information (such as your profile picture) according to the information you authorize the third party to provide. Your subsequent use of that Aurora Account is governed by this Agreement.
3. Account Keeping and Retrieving
Aurora Account includes the Account name and password. You can log in using the Account name (including the Account ID and mobile phone number) and password. Please take good care of your Account. You will be responsible the loss caused by your active disclosure or theft by others. If your Account information is lost due to your personal reasons and need to retrieve your Aurora Account information, please provide relevant information according to the Aurora Account retrieval process and ensure that the information provided is legal, true and valid. If the information provided does not meet the requirements and cannot pass the Aurora security verification, Aurora has the right to refuse to provide the account retrieval service.
If the Aurora Account you are currently using is not an Account you initially applied for or obtained through other means offered by Aurora, but you are aware of the current password for the Aurora Account, you are not allowed to log in or perform any operations with the Aurora Account and should notify Aurora or the initial registrant of the Aurora account as soon as possible.
4. Account Transfer
4.1 You may use the Aurora Account within the scope of this Agreement. You shall not register the Aurora Account in bad faith, or give, borrow, rent, transfer or sell the Aurora Account to others with or without compensation, or otherwise permit any non-initial registrant to use the Aurora Account. Aurora has the right to make independent judgment and deal with the above actions and you should assume any liability arising therefrom. Meanwhile, Aurora reserves the right to pursue the legal responsibility of the aforesaid actor, and all the responsibilities arising therefrom shall be borne by you.
4.2 Aurora shall have the right to take the following measures against you in accordance with laws and regulations:
4.2.1 If you violate the laws and regulations, individual terms and conditions or business rules of Aurora, Aurora has the right to make independent judgment and take time-limited corrective action, suspend or terminate your use of Aurora Account at any time, and decide whether to resume the use based on the actual situation.
4.2.2 If Aurora discovers that you are not the initial registrant for the Account, Aurora reserves the right to terminate your use of the Account without notice.
4.2.3 Aurora may demand you to correct your use within a time limit, suspend or terminate your use of your Aurora Account in accordance with these rules or relevant laws and regulations, and you shall bear any losses (including but not limited to communication interruption, and the deletion of user information, emails and related data, etc.) caused thereby.
5. Account Return
In order to prevent waste of resources, if you have not used your Aurora Account or logged into your Account by any other means approved by Aurora for 24 consecutive months, Aurora has the right to cancel the Account and you will no longer be able to log in or use the related services through the Account. If there are pending transactions or balances associated with this Account, Aurora will assist you in processing them to a reasonable extent. Please follow the instructions provided by Aurora.
6. Account Security
Your Account is set up and maintained by you and Aurora will not ask you to provide your Account password at any time. We recommend that you take specific measures to ensure the security of your Account, including but not limited to installing antivirus and anti-Trojan software and changing your password regularly.
7. Account Cancellation
7.1 In the event that you need to terminate your use of the Aurora Account services, you may apply to cancel your Aurora Account if the following conditions are met:
7.1.1 You may only apply for cancellation of your own Account and do so in accordance with Aurora’s procedures.
7.1.2 You shall still be responsible for your actions prior to your account cancellation and during your use of Aurora Services.
7.1.3 You should be aware that the cancellation of your Account means that your User content will be removed from our activity database.
三、 Our Services for You
The services we can provide to you include but are not limited to (click on the relevant services to jump directly to the corresponding pages of Aurora Platform):
The above services may be changed, upgraded, suspended or terminated. In the event of the above, we will notify you as soon as possible. When the above features are updated, this Agreement shall still apply unless we specify otherwise.
四、Fees
Our services include paid services and free services, the details of which are subject to the information published on our platform. Please read them carefully before using the services. When you use our paid services, you should pay according to our published billing standards and methods. If there are any changes in our billing standards or methods, we will inform you on the Aurora Platform. Please pay attention to the relevant information.
For recharge services, you can log in to your Account to view the recharge, consumption and balance of your Account. If you have any objection to your Account recharge, consumption and balance information, you can give us feedback before the 10th day of the month following the transaction. Otherwise, you will be deemed to have accepted the transaction information of the Account.
五、 Rights and Obligations of the Parties
(一) Our Rights and Obligations
1. We enter into a cooperative relationship with you to provide you with the relevant services and necessary technical support for purpose of conducting technical tests and improving user experience, etc.
2. If we are required by law to delete the models and data you feed into our platform, we have the right to delete your relevant information.
3. Due to business development needs or laws and regulations, we have the right to adjust the scope of services provided to you, and we will notify you within a reasonable time before such adjustment.
4. We will take a variety of physical, electronic and management security measures in line with industry standards to protect the personal information collected from you and Your End Users to avoid the risk of data leakage.
(二) Your Rights and Obligations
1. You need to guarantee that you are a natural person over the age of 18 with full capacity for civil conduct, or a legal person or other organization legally registered and validly existing under the laws of your domicile and capable of performing your obligations under this Agreement.
2. You shall not take any action that will affect or damage the security of our system, or nor take any action that will damage the legitimate rights and interests of us or other third parties.
3. You shall not take any action that imposes or may impose an unreasonably or disproportionately large burden on our infrastructure.
4. You shall not interfere or attempt to interfere with the proper functioning of the Aurora Platform or any part of the Aurora Platform activities.
5. You shall not circumvent any measures we may use to block or restrict access to or protect the Aurora Platform.
6. You need to fully and completely read the Aurora Privacy Policy.
7. You need to formulate a privacy policy for Your End Users, whose standards shall not be lower than our privacy protection standards. The privacy policy of your App should substantially contain the following provisions: “Some of our services are provided by third-party partners. In the case of push services, in the process of providing such service, the third-party partner needs to be aware of your relevant personal information, namely IP address, device identifier, location information, software list to ensure the accuracy of data statistics. Another example is SMS/authentication services. In such case, personal information includes mobile phone number. Please refer to our privacy policy for more details. In order to provide you with better services, improve technology and enhance user experience, you understand and agree that we have the right to provide your personal information to third party partners to the extent necessary. We will only share your information for lawful, justifiable, necessary, specific, and explicit purposes and will only share the information necessary to provide the service. Our partners have no right to use the shared information for any other purpose. We will notify you and seek your consent in advance if we intend to use the personal information for other purposes not specified in this agreement. We will also notify you and seek your consent in advance when we intend to use information collected for a specific purpose for another purpose.”
8. If Your End Users withdraw the above authorization and permission, you shall take necessary technical measures to stop providing our services to Your End Users and immediately notify us in writing.
9. You promise and warrant that the data content you provide to us has a lawful source (including but not limited to having obtained full and effective authorization from the right holder), does not infringe upon the legitimate rights and interests of others (including but not limited to the right to privacy), and does not violate any laws and regulations. To further guarantee the content of this clause, you shall promptly provide us with relevant proof when necessary.
10. You shall guarantee the authenticity and validity of the personal information provided and such provision of information does not violate the legitimate rights and interests of any third-party organization or individual. If the information provided by you contains any error, false, outdated or incomplete information or infringes on the legal rights and interests of a third party, we have the right to suspend or terminate the services provided to you or restrict your use of some or all of the services provided by Aurora, and you shall be liable for all damages.
11. Without our written consent, you shall not authorize any third party to use the models and algorithms generated during our service.
12. You may not distribute, sell, resell, lease, license, sublicense or otherwise provide any information on the Aurora Platform or any user information to third parties.
13. You may not use any data mining, robotics or similar data collection and extraction tools to collect or mine information on the Aurora Platform or user information.
14. When using the Aurora Services, you should comply with the provisions of the Network Security Law, the Administrative Regulations on Internet News and Information Services and other relevant laws and regulations of the People’s Republic of China. You agree not to use our services for any illegal or improper activities, including but not limited to the following acts:
14.1 Uploading, displaying, disseminating or otherwise transmitting information containing one of the following contents:
14.1.1 content that opposes the fundamental principles established in the Constitution;
14.1.2 content that endangers national security, leaks state secrets, subverts state power, or undermines national unity;
14.1.3 content that harms the honor and interests of the state;
14.1.4 content that incites ethnic hatred, ethnic discrimination or undermines ethnic unity;
14.1.5 content that undermines national religious policies, promotes evil cults or feudal superstitions;
14.1.6 content that disseminates obscenity, pornography, gambling, violence, murder, terror or abets crimes;
14.1.7 content that insults or defames others or infringes on the legitimate rights and interests of the others;
14.1.8 other contents prohibited by laws or administrative regulations.
14.2 You shall not use the Aurora Services to engage in the following activities:
14.2.1 accessing computer information networks or using computer information network resources without permission;
14.2.2 deleting, modifying or adding functions of computer information network without permission;
14.2.3 deleting, modifying or adding data and applications stored, processed or transmitted in the computer information network without permission;
14.2.4 making or spreading computer viruses or other destructive programs on purpose;
14.2.5 other acts that endanger the security of computer information network.
15. You shall not reproduce, copy, sell, resell any part of the Aurora Services or the use of or any gain from Aurora Services for any other commercial purpose.
16. You undertake that Your End Users are aware of our collection, use, and disclosure of their personal information in accordance with this Agreement and the privacy policy. If Your End Users make a request to you regarding the subject of personal information related to Aurora, you are required to first verify the identity of the subject of personal information and the legality and authenticity of such request, and to promptly contact Aurora after deciding to respond to the request. After Aurora verifies your identity, as well as the legality and authenticity of the request, we will actively cooperate in responding to the request related to the subject of personal information and reply to you in a timely manner. In the event of a claim or complaint resulting from your unilateral failure to fulfill the obligations requested by the personal information subject, you shall be fully and solely responsible for the handling of the complaint or claim and the resolution of the dispute, and shall compensate us for all losses that may be suffered thereby.
六、 Intellectual Property
1. We retain the ownership and intellectual property rights of all contents on the Aurora Platform, including but not limited to images, text, website designs, graphics arrangements and any derivative works related thereto. Without our written consent, you shall not use, modify, copy, publicly disseminate, change, distribute, issue or publish any content on our platform.
2. We provide you with a non-exclusive, terminable, non-distributable, non-transferable license to access and use our platform to develop, test, and display your application only. This license is only limited to the People’s Republic of China (excluding Hong Kong, Macao and Taiwan for the purpose of this Agreement).
3. We agree that you may use our name, trade name, trademark, logo, domain name and other business identifiers in the process of commercial promotion of your partners. You agree that we use your name, trade name, trademark, logo, domain name and other business identifiers in the process of commercial promotion of our partners and take the cooperation content with you as a customer case for promotion. Under no circumstances shall either party engage in any matter that may affect the cooperation between the parties or infringe upon the other party’s reputation, intellectual property rights, privacy and other legitimate rights and interests.
4. You shall not delete, damage, cover up or modify the copyright notice, trademark or other proprietary marks of Aurora or its affiliates on the product.
5. We retain the ownership and intellectual property rights of all analysis reports, industry reports, crowd labels, crowd portraits and other data generated in the process of providing services. You can only make reasonable use of the data based on the agreement of specific services, and you should indicate that the data source is Aurora when making such reasonable use. You shall not use the foregoing data for commercial purposes without our written consent.
6. We shall have all rights to the operation data of Aurora Platform, including but not limited to login information, operation records, service ordering and other data. Without our written consent, you shall not save, use or authorize others to use the foregoing data.
7. With respect to the data we use and collect in the course of providing services for you, you agree and authorize us to enjoy a permanent, free, non-exclusive and sublicensable right worldwide, including but not limited to authorizing us to use the foregoing data for macro analysis and release or share the analysis results to third parties.
七、 Confidentiality
1. During your use of our services, if confidential matters are involved, the written agreement, commitment letter and other documents executed or reached by both parties shall prevail.
八、 Liabilities
1. If you use the services provided by our platform in violation of this Agreement, including but not limited to infringing the intellectual property rights of a third party by any means, or using any materials or information containing obscenity, defamation, libel, rumors, racism or information infringes on the right of name, reputation or privacy of others, resulting in any claim, lawsuit or other proceedings brought against us by any third parties, you shall indemnify and hold us harmless from all losses (including but not limited to legal costs, attorney’s fees, settlement fees and damages) incurred to us.
2. If Your End Users bring any form of claim or demand against us as a result of your breach of the above covenants, or cause us to be involved in legal or administrative procedures, you will be responsible for fully handling the lawsuit, defending for us, or cooperating to defend us at our request, so as to protect our interests from being harmed, and you shall indemnify us for the losses we may suffer as a result, including but not limited to legal costs, attorney fees, settlement fees and damages.
3. If you are found to have breached this Agreement, we shall have the right to directly delete the relevant information without prior notice, terminate or suspend the service provided to you, and require you to immediately cease to use or copy the relevant documents.
4. In case of any of the following circumstances, we shall have the right to terminate this Agreement or suspend our services, and require you to immediately delete the algorithms, models and data involved or terminate the acts that infringe upon the rights and interests of others.
- You access our platform, upload, publish information or improperly use our algorithms, models and data in violation of laws and regulations;
- Your behavior infringes on others’ privacy, trade secrets or other Users’ rights and interests.
In the event of any of the above circumstances, you shall assume all responsibilities in your own name and indemnify other Users or any third party for the losses caused by the infringement.
5. We have the right to review your behavior for breach of contract according to professional or non-professional standards. You agree and irrevocably acknowledge our review results and the evidence collected. You shall not be exempted from legal liability after we have dealt with your breach of contract in accordance with this Agreement or relevant agreements.
6. You shall be legally responsible for your actions in the course of using the Aurora Service. The form of the legal liability you may assume include but not limited to compensation to the person who has been infringed upon, and an equal amount of compensation to Aurora after Aurora has first assumed the liability for administrative penalties or tort damages caused by your actions. Under no circumstances shall Aurora be liable to you or any third party for any indirect, consequential, incidental, special, or punitive damages arising out of this Agreement.
九、 Disclaimers
1. We shall have the right to repair or maintain the platform or related equipment regularly or irregularly. If the network service is interrupted or suspended for a reasonable period due to such circumstances, we shall not be liable for such interruption or suspension.
2. We do not guarantee the accuracy, completeness, effectiveness and timeliness of relevant analysis reports, industry reports, crowd labels, crowd portraits and relevant data in our services, nor do we guarantee that our services can meet your needs. We will not be responsible for the results of any actions you make based on the use of our services.
- in case of force majeure; force majeure refers to unforeseeable, unavoidable and insurmountable objective conditions, including but not limited to government actions, natural forces, fires, explosions, geographical changes, storms, floods, earthquakes, tides, lightning or wars;
- hacker attack, computer virus invasion or outbreak;
- the mobile phone system is damaged, paralyzed or unable to function properly;
- technical adjustment of the telecommunication department;
- any situation that affects the normal operation of the network and services, including the interruption suspension of the secure authenticated communication of Aurora caused by the adjustment of telecom operators’ policies;
- temporary closure due to government regulation;
- other circumstances not caused by our fault.
4. We have the right but not the obligation to examine whether you have legal business qualifications. You agree to examine the business credit and qualifications of the opposite party to the transaction at your own risk, which we are not involved.
5. We only provide neutral Aurora Platform services. You should be responsible for the creation, modification, testing, operation and maintenance of your product functions, and bear the corresponding expenses. We will conduct technical review on your products, but we have no obligation to verify your service ability and quality. We shall not be deemed to be a co-provider of the products (or features) as a result of our review, and shall not assume any responsibility for your products (or features) as a result of our review.
6. If we are required to delete all or part of the models and data you feed into our platform in accordance with relevant laws and regulations, legal procedures, government mandatory orders or judicial decisions, we have the right to delete your relevant information without assuming any responsibility.
十、 Termination and Assignment of this Agreement
(一) Termination of this Agreement
- 1. When you stop using and no longer use our developer services, or in the case that we are unable to contact you within a reasonable time through the contact information provided by you, we will terminate the services provided to you.
- 2. When your behavior violates applicable laws and regulations, we have the right to terminate this Agreement or suspend our services and require you to stop your illegal behavior immediately.
- 3. In the event of force majeure, which makes it impossible for either of us or you to continue to perform relevant obligations, we will terminate the services provided to you.
- 4. In case of either party’s business suspension, cancellation or de-registration of business license, bankruptcy, deterioration of financial condition resulting in inability to fully perform its obligations under this Agreement, we will terminate the services provided to you.
- 5. Upon the termination of this Agreement, we have the right to decide whether to preserve any information you retain on our platform. You have no right to require us to retain for you or transfer any information in your Account to you or any third party.
- 6. The fees payable by you but not settled under this Agreement shall become due immediately upon the termination of this Agreement. The fees payable by you shall also include other expenses incurred to recover outstanding fees from you, such as the attorney fees. We may deduct the fees from your Account or through other methods of settlement, and you are responsible for any shortfall.
(二) Assignment of this Agreement
- 1. We are entitled to assign all rights and obligations under this Agreement to our affiliates. In case of such assignment, we will notify you through website announcement, in-site notice, email, etc.
- 2. Without our prior written consent, you shall not assign all or part of your rights, or all or part of your obligations under this Agreement.

十二、 Notice
All notices given by us to you under the terms and provisions of this Agreement can be made through website announcements, in-site notices, emails, etc., and such notices shall be deemed to have been served to the User on the date of sending.
十三、 Interpretation, Governing Law and Dispute Resolution of this Agreement
1. Aurora reserves the right to interpret the terms of this Agreement.
2. The execution, validity, performance, termination and interpretation of the terms and provisions of this Agreement shall be governed by the laws of the mainland of the People’s Republic of China (for the purpose of this Agreement, the laws of Hong Kong Special Administrative Region, Macao Special Administrative Region and Taiwan Region are not included).
3. This Agreement is entered into in Shenzhen, Guangdong Province, China. Any dispute or controversy with Aurora arising from this Agreement shall first be settled through friendly negotiation. If the negotiation fails, the parties hereby agree to submit the dispute to the People’s Court of Nanshan District, Shenzhen, Guangdong Province for litigation.
4. This Agreement is written and executed in Chinese and English. In case of any inconsistency between the two languages, the Chinese version shall prevail.
This Aurora Developer Services Agreement (hereinafter referred to as the “Developer Agreement”)and the Aurora Docs(《极光文档》), Aurora Privacy Policy and related operation instructions, rules of use and the agreements and rules that need to be separately presented to you as our services are updated and developed from time to time (collectively with the “Developer Agreement”, hereinafter referred to as the “Agreement”) are agreements between the Developer (hereinafter referred to as “you”) and Shenzhen Hexun Huagu Information Technology Co., Ltd. (深圳市和讯华谷信息技术有限公司) and its affiliates (hereinafter referred to as “Aurora” or “us”) in connection with our developer service provided to you. Please carefully read, fully understand and abide by this Agreement before using our services and choose whether you agree to the Agreement after reading it. If you do not agree to this Agreement, you will not be able to use our developer services. This Agreement is established and effective when you click to agree to it. From the date of this Agreement takes effect and until you stop using and no longer use our services, this Agreement shall comprehensively govern and stipulate the rights and obligations between you and us. We will provide our services to you strictly in accordance with this Agreement.
This Agreement is a valid part of the Aurora User Service Agreement and shall take effect simultaneously with the Aurora User Service Agreement. For part of the special rules covered by the separately presented agreements and rules, the separate agreements and rules shall prevail, and for matters not covered by the separate agreements and rules, the Developer Agreement shall prevail. If you are not willing to accept the terms and rules of this Agreement, please do not use any of our services.
We reserve the right to amend this Agreement from time to time as needed and post the amended agreement on our relevant interface. Please pay attention to the changes of this Agreement from time to time. If you continue to use our services after the change of the content of this Agreement is announced, it is deemed that you have fully read, understood, and accepted the amended content and used our services; if you do not agree with the content of the amended Agreement, you should stop using our services immediately.
We have been developing new technologies and features to improve our products and services. For example, we have invested resources in artificial intelligence to detect and block malicious message content through machine learning, and we also offer push notification alliance(推送联盟), activity (应用保活) and many other innovative features. To achieve continuous improvements, we occasionally add or remove features, raise or lower the limits of our services, start offering new services, or stop offering old services. If the material changes we made negatively impact your experience of using the service, we will respond immediately after you send us a notice, and you have the right to opt out of the service by logging out, turning off options or an opt-out mechanism.
Our website and services are provided only to natural persons with full capacity for enjoying civil-law rights and performing civil acts and to legal persons or other organizations legally registered and validly existing under the laws of their domiciles and capable of performing their obligations under this Agreement. If you are not eligible, please do not continue to use the services provided we provide; otherwise, we have the right to terminate the services provided to you at any time.

一、Definition
- 1. Aurora Platform: means the Aurora service platform (www.jiguang.cn) owned, controlled and operated by us.
- 2. Developer: means the natural person, legal entity or other organization that, after effective registration and application, that connects various applications developed, created or operated with legal authorization in its own name and independently assuming legal responsibility to the Aurora Platform and provide various services to users.
- 3. Developer Application: means the Android, iOS, and Windows Phone applications required for Developer services.
- 4. Developer End User: means an end user who has installed the Aurora Developer application.
- 5. Aurora Developer Service SDK: means the Developer service development package officially launched by Aurora for Android, iOS and Windows Phone platforms, including but not limited to Jpush(极光推送), JAnalytics(极光统计), JMessage(极光IM), JSMS(极光短信), Aurora Mobile Security Verification(极光安全认证), JMLink(极光魔链), JShare(极光分享), Aurora Private Cloud (极光私有云) and JG Alliance Push(极光联盟推送).
- 6. Open Platform Operation Data: means any data or information submitted by users, generated by the Aurora Service Platform and generated by the authorized websites and Developer applications during your use of the platform services, authorized websites and Developer applications through the Aurora Service Platform, including but not limited to the data submitted by you, data generated by your operation, etc. The ownership and other related rights of the “Open Platform Operation Data” (except for the original personal information of end users provided by the Developers) belong to Aurora and are trade secrets of Aurora, except for the relevant rights that belong to you according to law.
- 7. Each Party: under this Agreement, we and the Developer are individually referred to as “each Party” or “either Party”.
二、 Our Services for You
The Developer services provided to you by us include but not limited to:
- 1. JPush
- 2. JMessage
- 3. JAnalytics
- 4. JSMS
- 5. Aurora Mobile Security Verification
- 6. JMLink
- 7. JShare
- 8. Aurora Private Cloud
- 9. UMS
- 10. JG Alliance
- 11. activity(activity)
The above services may be changed, upgraded, suspended or terminated. In the event of the above, we will notify you as soon as possible. When the above features are updated, this Agreement shall still apply unless we specify otherwise.
三、Fees
Our services include paid services and free services, the details of which are subject to the information published on our platform. Please read them carefully before using the services. When you use our paid services, you should pay according to our published billing standards and methods. If there are any changes in our billing standards or methods, we will inform you on the Aurora Platform. Please pay attention to the relevant information.
Customers using our paid services can log in to their account to view the recharge, consumption and balance of the account. If there is any objection to the account recharge, consumption and balance information, feedback may be given to us before the 10th day of the month following the transaction. Otherwise, you will be deemed to have accepted the transaction information of the Account.
四、 Rights and Obligations of the Parties
(一) Our Rights and Obligations
- 1. By entering into a cooperation relationship with you, we agree to allow you to use the Aurora Developer Service SDK in your App and thereby provide you with the necessary technical support (including documentation and instructions for integrating and using the Aurora Developer Service SDK so that your App can be smoothly configured with the Aurora Developer Service SDK). We would like to remind you that you should strictly follow the documentation and instructions provided to you to adapt and use the Aurora SDK, and you are responsible for any impact and loss caused by your failure to cooperate effectively.
- 2. We are responsible for the daily operation and maintenance of the Aurora Developer Service SDK and timely elimination of errors, which shall not include the issues arising from your own reasons and/or force majeure and matters beyond our control.
- 3. When you find that your App cannot properly use and integrate Developer Service SDK through the Aurora Platform, please notify us immediately and we will actively cooperate with your debugging work after receiving your feedback.
- 4. If we find that you have improperly integrated or used the Aurora Developer Service SDK, before taking appropriate actions, we will provide instructions via email, but we reserve the right to respond to such circumstances without notifying you, including but not limited to: restricting client access, restricting the use of API, restricting access to the site management platform, restricting the push of certain content, controlling the use of and access to certain services, etc.
- 5. Due to business development demands or changes in laws, regulations and regulatory policies, we have the right to adjust the scope of services provided to you, but we will notify you in the manner agreed in Chapter 10 of this Agreement within a reasonable period of time prior to such adjustment.
- 6. We have the right to collect, use and save the data received by you under this Agreement and generated in the course of your use of our services. We will take a variety of physical, electronic and management security measures in line with industry standards to protect the personal information collected from you and your end users to avoid the risk of data leakage.
- 7. We will collect, use and disclose your end-users’ personal information in strict accordance with the provisions set forth in this Agreement and the Privacy Policy. If your end-users make unreasonable complaints or claims in this regard, we have the right to require you to cooperate in defense and protect our interests.
- 8. You and we are jointly responsible for customer service and other related issues regarding the integration of the Aurora Developer Service SDK and the App.
- 9. Specific authorization will be agreed upon separately through negotiation and a separate agreement will be executed if you are in need of Alliance Push, Activity, operation or promotion. If there is any conflict or inconsistency between this Agreement and such other agreement separately executed, the other agreement reached by the parties shall prevail.
(二) Your Rights and Obligations
- 1. You warrant that you are a natural person with full capacity for enjoying civil-law rights and performing civil acts, or an independent legal person or organization legally established and validly existing within or outside the People’s Republic of China and capable of performing the obligations under this Agreement.
- 2. You should fully and completely read the Aurora Privacy Policy.
- 3.During the cooperation period, you should properly integrate the Aurora Developer Service SDK into the App and/or back end services in accordance with the documentation, instructions, and technical support provided by us, and should be responsible for the development work of integrating the Aurora Developer Service SDK into the App and/or the back end services at your own expense; you acknowledge and agree that failure to properly integrate and/or use the SDK may cause its function not work as intended, or even because of the improper use, we may restrict and/or terminate the services provided for the App, in which case, you should be responsible for the impact and loss caused.
- 4. Your App with the Aurora Developer Service SDK built in must state on the “About” interface and the license agreement that “Aurora Developer Service SDK is included and its copyright belongs to Shenzhen Hexun Huagu Information Technology Co., Ltd.”
- 5. You undertake that you will not take any action that will affect or damage the security of our system, or nor will you take any action that will damage the legitimate rights and interests of us or other third parties.
- 6. You can only integrate our relevant SDK service in your App. If you integrate our SDK in other Apps beyond the scope of this Agreement, we have the right to stop providing the service for you and require you to compensate for the corresponding losses.
- 7. You need to formulate a privacy policy for your end users, whose standards shall not be lower than our privacy protection standards. The privacy policy of your App should substantially contain the following provisions: “Some of our services are provided by third-party partners. In the case of push services, in the process of providing such service, the third-party partner needs to be aware of your relevant personal information, namely IP address, device identifier, location information, software list to ensure the accuracy of data statistics. Another example is SMS/authentication services. In such case, personal information includes mobile phone number. Please refer to our privacy policy for more details. In order to provide you with better services, improve technology and enhance user experience, you understand and agree that we have the right to provide your personal information to third party partners to the extent necessary. We will only share your information for lawful, justifiable, necessary, specific, and explicit purposes and will only share the information necessary to provide the service. We will notify you and seek your consent in advance if we intend to use the personal information for other purposes not specified in this agreement. We will also notify you and seek your consent in advance when we intend to use information collected for a specific purpose for another purpose, unless national laws and regulations provide otherwise”.
- 8. At the request of the relevant state authorities, in order to enhance the function of mobile Internet technology to serve social public welfare and play the role of APP message push in disaster warning and public danger aspects, In the event of natural disasters such as earthquakes, tsunamis and hurricanes, accidents and disasters such as traffic accidents, public facility accidents, environmental pollution and nuclear accidents, public health accidents such as mass food poisoning and epidemic of infectious diseases, and social safety accidents such as terrorist attacks and cybersecurity accident, you have authorized us to send relevant disaster notification information to users in the affected area through your App’s push channel in real time, and you should ensure that such action has been fully authorized by your users.
- 9. To ensure the timely delivery of message push we may need to wake up the App when pushing the message, and when you use and integrate JPush SDK with your App, we will enable the activity feature for you by default to improve the efficiency of the App wake-up for you and other Developers. If you do not want to enable this feature, you can turn it off in the relevant configuration interface.
- 10. If your end users withdraw the above authorization and permission, you should take necessary technical measures to stop using our service with respect to the end users of such product and immediately notify us in writing.
- 11. On the premise that we deliver the upgrade or update program to you with respect to the Aurora Developer Service SDK, you should implement product upgrade or update in accordance with our requirements. When we believe that there are special circumstances, you should complete the upgrade or update of the Aurora Developer Service SDK in a timely manner in accordance with our upgrade or update requirements and promptly provide it to the end users.

12. You warrant that your products and the content published on your products shall not contain any information that
violates state laws, regulations and policies, including but not limited to:
- content that opposes the fundamental principles established in the Constitution;
- content that endangers national security, leaks state secrets, subverts state power, or undermines national unity;
- content that harms the honor and interests of the state;
- content that incites ethnic hatred, ethnic discrimination or undermines ethnic unity;
- content that undermines national religious policies, promotes evil cults or feudal superstitions;
- content that disseminates obscenity, pornography, gambling, violence, murder, terror or abets crimes;
- content that insults or defames others or infringes on the legitimate rights and interests of the others;
- other contents prohibited by laws or administrative regulations./li>
- 13. You should not use the Aurora Developer Service SDK to push any message to users which have not completed real-name authentication. Aurora reserves the right to stop providing services to Developers who conduct such behavior without prior notice.
- 14. You and we are jointly responsible for customer service and other related issues regarding the integration of the Aurora Developer Service SDK and the App. You are responsible for the quality and legality of your App.
五、Intellectual Property
1. We are entitled to the ownership and intellectual property rights in the Aurora Developer Service SDK and all of its elements and components, including but not limited to the works, images, files, information, materials, website structure, arrangement of website graphics, web design, SDK, SPI, data, technology, software, code, user interface, and any derivative works related thereto, and we have the right to use the Aurora Developer Service SDK software package or other related technical documentation for purposes other than those specfied in this Agreement. Without our written consent, you should not copy, imitate, modify, translate, adapt, lend, sell, sublicense, transmit on information network, or transfer our services and/or related software, nor should you misappropriate, decompile, disassemble, dismantle or maliciously attack the the Aurora Developer Service SDK software package, or otherwise endanger the safety and rights of us and others. You should not use the Aurora Developer Service SDK software package or other related technical documentation for purposes other than those specified in this Agreement either.
2. We retain the ownership and intellectual property rights of all analysis reports, industry reports, crowd labels, crowd portraits and other data generated in the process of providing services. You can only make reasonable use of the data based on the agreement of specific services, and you should indicate that the data source is Aurora when making such reasonable use. You shall not use the foregoing data for commercial purposes without our written consent.
3. We agree that you may use our name, trade name, trademark, logo, domain name and other business identifiers in the process of commercial promotion of your partners. You agree that we use your name, trade name, trademark, logo, domain name and other business identifiers in the process of commercial promotion of our partners and take the cooperation content with you as a customer case for promotion. Under no circumstances shall either party engage in any matter that may affect the cooperation between the parties or infringe upon the other party’s reputation, intellectual property rights, privacy and other legitimate rights and interests.
六、 Liabilities
1. You should strictly comply with this Agreement and the relevant laws and regulations when using the Aurora Developer Service. If you violate this Agreement or the relevant laws and regulations in any aspect, including but not limited to infringing the intellectual property rights of a third party by any means, or containing any materials or information containing obscenity, defamation, libel, rumors, racism or information infringes on the right of name, reputation or privacy of others in your App, Aurora reserves the right, depending on the nature of your behavior and the degree of risk caused, to take measures including but not limited to discontinuing the use license, restricting the use, suspending or terminating the service, and claiming for legal liability. If you cause any damage to Aurora or others, you should compensate for such damages.
2. If your end users bring any form of claim or demand against us as a result of your breach of this Agreement or relevant laws and regulations or cause us to be involved in legal or administrative procedures, you will be responsible for fully handling the lawsuit, defending for us, or cooperating to defend us at our request, so as to protect our interests from being harmed, and you shall indemnify us for the losses we may suffer as a result, including but not limited to legal costs, attorney fees, settlement fees and damages.
七、 Disclaimers
1. Except as otherwise expressly stated in this Agreement, we do not provide you with any other types of warranties, whether express or implied, with respect to the Aurora Developer Service SDK, including but not limited to any implied warranties and liabilities of merchantability, suitability, reliability, accuracy, completeness, virus-free and error-free nature.
2. We shall have the right to repair or maintain the platform or related equipment regularly or irregularly. If the network service is interrupted or suspended for a reasonable period due to such circumstances, we shall not be liable for such interruption or suspension.
3. Due to the limitations of technology, even with our best efforts, we cannot guarantee that Aurora Developer Service SDK will be fully compatible with other hardware, software and system. In the case of incompatibility, you may consult customer service for technical support. If such problems cannot be solved, you may choose to stop using our Developer service, we shall not be subject to any liabilities arising therefrom.
4. We do not guarantee the consistency, security, or stability of our Developer Services for Aurora Developer Service SDK that is not downloaded from the official channels designated by us, nor shall we assume any legal liability for any direct or indirect damages suffered by users as a result.
5. We do not guarantee the accuracy, completeness, effectiveness and timeliness of relevant analysis reports, industry reports, crowd labels, crowd portraits and relevant data in our services, nor do we guarantee that our services can meet your needs. We will not be responsible for the results of any actions you make based on the use of our services.
- in case of force majeure; force majeure refers to unforeseeable, unavoidable and insurmountable objective conditions, including but not limited to government actions, natural forces, fires, explosions, geographical changes, storms, floods, earthquakes, tides, lightning or wars;
- hacker attack, computer virus invasion or outbreak;
- the mobile phone system is damaged, paralyzed or unable to function properly;
- technical adjustment of the telecommunication department.
- any situation that affects the normal operation of the network and services, including the interruption suspension of the secure authenticated communication of Aurora caused by the adjustment of telecom operators’ policies;
- temporary closure due to government regulation;
- other circumstances not caused by our fault.
7. You agree to be fully liable for any direct, indirect, incidental, consequential or third-party claims, litigation costs, etc. arising out of the use or misuse of the Aurora Developer Service SDK or the breach of any of the terms of this Agreement. You will bear all the risks associated with the installation and use of the Aurora Developer Service SDK.
8. You should properly keep your account and password, strengthen password security, and change your password regularly to prevent account leakage or theft. We will not be liable for any loss suffered by you as a result of your account being leaked or stolen for reasons not attributable to us, such as the loss of your account or the loss or reduction of the rights and interests in your account.
9. If we are required to delete all or part of the models and data you feed into our platform in accordance with relevant laws and regulations, legal procedures, government mandatory orders or judicial decisions, we have the right to delete your relevant information without assuming any responsibility.
八、 Termination and Assignment of this Agreement
(一) Termination of this Agreement
- 1. When you stop using and no longer use our Developer services, or in the case that we are unable to contact you within a reasonable time through the contact information provided by you, we will terminate the services provided to you.
- 2. When your behavior violates applicable laws and regulations, we have the right to terminate this Agreement or suspend our services and require you to stop your illegal behavior immediately.
- 3. In the event of force majeure, which makes it impossible for either of us or you to continue to perform relevant obligations, we will terminate the services provided to you.
- 4. In case of either party’s business suspension, cancellation or de-registration of business license, bankruptcy, deterioration of financial condition resulting in inability to fully perform its obligations under this Agreement, we will terminate the services provided to you.
- 5. Upon the termination of this Agreement, we have the right to decide whether to preserve any information you retain on our platform. You have no right to require us to retain for you or transfer any information in your Account to you or any third party.
(二) Assignment of this Agreement
- 1. We are entitled to assign all rights and obligations under this Agreement to our affiliates. In case of such assignment, we will notify you through website announcement, in-site notice, email, etc.
- 2. Without our prior written consent, you shall not assign all or part of your rights or all or part of your obligations under this Agreement.

十、Notice

十一、 Interpretation, Governing Law and Dispute Resolution of this Agreement
1. Aurora reserves the right to interpret the terms of this Agreement.
2. The execution, validity, performance, termination and interpretation of the terms and provisions of this Agreement shall be governed by the laws of the mainland of the People’s Republic of China (for the purpose of this Agreement, the laws of Hong Kong Special Administrative Region, Macao Special Administrative Region and Taiwan Region are not included).
3. This Agreement is entered into in Shenzhen, Guangdong Province, China. Any dispute or controversy with Aurora arising from this Agreement shall first be settled through friendly negotiation. If the negotiation fails, the parties hereby agree to submit the dispute to the People’s Court of Nanshan District, Shenzhen, Guangdong Province for litigation.
4. In the event of any dispute arising out of the interpretation and performance of this Agreement or any dispute being litigated, we and you shall continue to exercise other rights and perform other obligations under this Agreement, except for the matters in dispute.
5. This Agreement is written and executed in Chinese and English. In case of any inconsistency between the two languages, the Chinese version shall prevail.

为使用极光效果通广告平台及相关服务,您应当阅读并遵守《极光效果通广告合作协议》(以下简称“本协议”)。请您务必审慎阅读、充分理解各条款内容,特别是限制或免除责任的条款,以及开通或使用某项服务的单独协议、规则。限制或免责条款可能以加粗或加下划线的形式提示您重点注意。
除非您已阅读并接受本协议及相关协议、规则等的所有条款,否则,您无权使用本服务。一旦您选择“同意”并完成注册流程,或您以任何方式使用本服务,即视为您已阅读并同意上述协议、规则等的约束。
您有违反本协议的任何行为时,极光有权依照您违反情况随时单方采取限制、中止或终止向您提供服务等措施,并有权追究您相关责任。
一. 定义
除非另有明确约定,否则,下列词语在本协议中具有如下含义:
- 1.0 极光:指深圳市和讯华谷信息技术有限公司。
- 1.1 极光效果通广告平台(或极光平台):指由极光或极光关联公司自主研发或运营的效果广告平台,可为客户提供流量采购、营销推广、费用统计、数据查询、素材管理等广告服务。客户可以按照极光平台规则,通过极光平台的渠道将其广告展示在不同的媒体中。极光通过极光效果通广告平台提供的服务统称“极光效果通广告服务”。
- 1.2 客户:是指通过极光平台向用户宣传、推广产品、服务的主体,在本协议中特指“您”。
- 1.3 流量供应方:指为展示广告提供相关页面、位置的网站、游戏、应用等媒体(其他第三方app等)的经营者以及相关的广告服务提供者(如广告交易平台经营者等),包括但不限于极光关联公司、极光合作伙伴等其他主体,简称“流量主”。
- 1.4 媒体:指由流量供应方运营的,为广告提供展示页面、位置的网站、游戏、应用等,包括但不限于极光或极光关联公司运营的产品以及其他极光合作伙伴运营的网站、游戏、应用等产品。
- 1.5 广告:指客户自行设计制作或依法委托他人设计制作的,用于展示自有品牌或其生产或销售的产品、服务的信息内容,包括但不限于图片、文字、视频、flash等,包括落地页本身。
- 1.6 落地页:指广告所指向的载体,即用户点击广告后跳转到的首个页面。
- 1.7 推广对象:指广告所直接或间接推广的产品、服务等,包括但不限于直接指向应用、网站、实物等,以及经落地页重定向指向应用、网站、实物等。
- 1.8 广告费:指客户使用极光效果通广告服务所产生的费用,广告费的结算方式包括但不限于CPC(点击计费)和CPM(千次广告展示计费)等,具体以极光平台规则为准。
- 1.9 极光平台规则:指客户使用极光效果通广告服务时需要遵守的相关规则,包括但不限于准入规则、广告审核规范、违规处罚规范等规则及将来可能发布的与极光效果通广告相关的协议、规则、规范等。相关内容可能以网站公告、书面文件、通知、FAQ等多种形式体现,客户应当予以遵守。
- 1.10 法律法规:指中华人民共和国(仅为本协议之目的,不香港和澳门特别行政区和台湾)相关法律、法规、部门规章及行业规范等。
二. 服务规则

极光可根据其自身运营安排或法律法规要求等随时单方调整、修订极光平台规则,包括但不限于根据流量主运营策略制定和调整主体准入类型(比如自然人、法人等)、广告设计标准、广告审核规则、行业准入类别、资质审核范围,以及对特定行业、情况收取或免除一定金额或比例的保证金等。
- (1)极光有权自行或通过极光平台以电话、短信、电子邮件、自助系统、站内消息、网站公告等方式中的一种或多种,向您通知极光平台规则。您应当及时查看相关内容。
- (2)经调整、修订的极光平台规则自通知规定的生效日起生效,您应当遵守。极光平台规则调整后,可能引起准入标准和推广标准等的变化,您不得以旧的标准为理由要求极光为您提供服务。
- (3)如您不同意上述调整、修订的,您应立即停止使用极光效果通广告服务并书面通知极光终止本协议。您以任何方式继续使用极光效果通广告服务的,即视为您认可并接受相关极光平台规则。
- 2.2 您确认接受并遵守本协议,自愿向极光申请使用极光平台。极光不对您使用极光平台后的访问量、销售量等作任何承诺。

2.3 您应当依法向极光提供下列证明文件(文件均需加盖当事人的公章或签字),并保证其真实、合法、完整和有效:
- (1)营业执照、身份证等主体资格、身份证明以及其他生产、经营资质的证明文件等。
- (2)完整、合法、有效的联系方式,包括但不限于邮箱、电话、地址等。
- (3)其他必要证明文件,包括但不限于产品质量检验证明、授权文件、广告审查表等。
- 2.4 由于极光平台涉及多种产品、服务,您可能需要根据选择的具体产品、服务注册不同的极光平台账户并遵守特定产品、服务的服务规则、服务协议等。无论您是从何种渠道选择使用极光效果通广告服务,您均需遵守极光平台规则。

您可以自行管理极光平台账户,也可以依法委托第三方(包括但不限于极光效果通广告平台的服务商/代理商等)管理极光平台账户;如果您委托第三方管理极光平台账户的,您应当自行评估和确立与第三方的委托关系;部分极光平台可能为您及服务商/代理商提供了关联渠道,您应当依照极光平台规则建立、管理、解除与服务商/代理商的关系。因您与委托的第三方之间的约定发生的纠纷,由您与该第三方自行协商解决,与极光无关。
任何通过您的极光平台账户实施的操作,均视为是您的操作,由您承担全部责任。您若发现任何非法使用您的极光平台账户的行为的,应立即书面通知极光。 - 2.6 流量主可能出于自身运营安排、用户体验等考虑,对不同媒体设置不同的广告投放规则,比如主体准入类型(比如自然人、法人等)、广告设计标准、广告审核规则、行业准入类别、资质审核范围等,并据此对您申请投放的广告进行筛选。您应当遵守您所选择的媒体的相应规则,并同意流量主有权对广告进行事先的筛选。
三. 客户的权利和义务
- 3.1 您保证是依据法律法规规定设立、经营的主体,已经取得必要经营资质,有权利和能力签订和履行本协议,您提交的一切资料(包括但不限于注册信息、身份资质、经营资质、授权文件等)真实、合法、有效,保证使用来源合法的资金支付广告费用。
- 3.2 您有权根据自身需求,自主选择素材规格、推广逻辑、竞价出价、查看推广数据、统计数据,投放、修改或下架广告等。

3.3 您的广告应当真实、合法、有效,保证不侵犯他人合法权益且符合法律法规以及极光平台规则的要求,包括但不限于:
- (1)广告不得含有安全隐患,包括但不限于不得含有钓鱼网站、病毒、木马等恶意程序。
- (2)广告中使用他人名义、形象(包括漫画形象)、标识或作品等任何权益的,或声称与他人存在任何合作关系的,均应当事先取得权利人的同意。
- (3)广告涉及的品牌、性能、质量、价格、允诺等全部内容应当清楚、明白且与实际相符,若含有赠送、奖励(包括但不限于游戏币、虚拟物、实物、折扣优惠等)等承诺的,应当保证承诺内容与实际情况一致,不得含有虚假的奖励、有奖销售、赠送等内容。
- (4)广告指向的落地页或推广应用、网站等任何推广对象,均为依法设立和运营,并且,您对推广对象须拥有合法权利,有权对其进行宣传、使用。
- (5)推广对象不得含有任何违法违规的内容,也不得含有盗号、窃取密码、木马、病毒等危害网络安全的恶意程序,包括但不限于推广的网站/应用/公众号等不得推广或销售假冒伪劣产品、从事非法经营活动、传播侵权或色情信息,推广的应用/软件或其他产品中不得存在扣费项目不明确、扣费提示不清晰、恶意扣费、暗设扣费程序等损害用户权益的情况。
- (6)法律法规或极光平台规则规定的其他情况。

3.4 落地页内容应当与广告具有紧密的关联性,并且,落地页实际展示的内容与审核时递交的内容应当保持一致,包括但不限于:
- (1)落地页应当安全、稳定,能够正常打开浏览。
- (2)投放期间,不得对落地页网站展示内容进行变更,比如将原本推广的普通产品变更为需要具备特殊经营资质方可经营的产品等,如有任何修改需要提前通知极光并重新提交审核。
- (3)不得对广告设置定向跳转,比如根据地域、时间、IP等要素设置跳转等,使得落地页与广告审核时的链接不一致等。
- (4)不得通过对落地页设置恶意代码、病毒等任何方式实施违反法律法规或本协议约定的行为。
- (5)其他违反法律法规或极光平台规则的情形。

3.5 您应当维护互联网秩序和安全,不得实施任何危害网络安全或损害他人权益的行为,包括但不限于:
- (1)进行任何改变或试图改变极光平台服务系统配置或破坏系统安全的行为。
- (2)任何破坏或试图破坏网络安全的行为,包括但不限于以病毒、木马、恶意代码、钓鱼等方式,采取对网站、服务器进行恶意扫描、非法侵入系统、非法获取数据等。
- (3)利用技术或其他手段破坏、扰乱极光平台的运营或妨碍他人对极光平台的使用,或者制作、传播实施前述目的的方法等。
- (4)仿冒或使用仿冒的极光平台产品,使用户发生误解或混淆。
- (5)其他危害网络安全或损害他人权益的行为。

3.6
因您违反本协议约定产生任何纠纷和争议的,应由您自行独立解决并承担全部责任,包括但不限于以您自己的名义出面与第三方协商、应诉或接受主管机关的审查等,并承担所有费用、赔偿损失等。您违约的情况包括但不限于:
- (1)广告本身违反法律法规或违反本协议约定,如广告以虚假或者引人误解的内容欺骗、误导用户的。
- (2)推广对象本身违反法律法规或违反本协议约定,如推广的产品、服务是假冒伪劣的,或推广的产品、服务散布淫秽、色情、赌博、暴力、凶杀、恐怖、骚扰、低俗或者教唆犯罪等违法或违反公序良俗的内容的。
- (3)通过推广对象实施的行为违反法律法规或违反本协议约定,如利用推广的网站、应用实施欺骗、误导用户、窃取用户信息的行为的,或利用推广对象实施未获得行政许可的业务的。如因您违反本协议约定给极光、流量主或其他任何主体造成损失的(包括但不限于因处理用户投诉、用户索赔、权利人索赔、行政处罚等支付的费用,以及被没收的广告费等),您应予以赔偿。
- 3.7 本着创意分享、互利互助的原则,您同意授权极光将您的广告,以信息网络传播、现场培训等各种方式,通过网站登载、现场介绍、设计工具、产品功能等各种形式,向他人展示、介绍、评析(包括但不限于以广告为范例向他人介绍其优劣之处等),或供他人参考、学习、评选等。
四. 极光的权利和义务

4.1
极光提供与极光效果通广告服务有关的技术支持或资料说明,并负责极光平台系统的运营、维护。为向您提供更加优质的服务,极光及其关联公司有权不断调整极光平台及其具体服务,极光平台及其具体服务名称、功能、域名的调整,不影响本协议的效力。
极光有权根据单方运营安排随时调整或终止部分或全部的服务,包括但不限于停止特定服务、对某项服务进行升级、调整某项服务的功能或整合某些服务等。您有权根据自身需求决定是否继续使用相关服务。 - 4.2 极光有权对您提交的资料及广告进行审核并根据极光平台规则决定是否允许投放广告,该审核仅为形式审核,不代表极光有义务对广告的真实性、合法性进行任何确认或担保,并且,并不因为极光的审核,而减轻您对经营资质、广告等的真实性、合法性的保证责任,由此产生的一切责任和后果仍由您单独承担。

4.3
广告或推广对象受到主管机关调查或被第三方(包括但不限于用户、权利人等,下同)投诉时,或者您存在违法违规或违反本协议约定的情况的,极光有权根据一般人的认识自行独立判断,以认定您是否确实存在违法违规或违反本协议约定的情况;若极光经过判断认为您确实存在违法违规或违反本协议约定的情况的,极光有权随时单方对您(含您名下相关极光平台账户)采取以下一项或多项措施:
- (1)停止涉嫌违规广告的投放,无论该广告是否已经上线。
- (2)要求您对广告进行修改直至符合相关规定或更正违约行为。
- (3)限制您使用极光效果通广告服务,比如暂停审核等。
- (4)对您提交的全部广告予以下线,比如拒绝账户。
- (5)对您采取罚款,扣除保证金,或扣除您的极光平台账户的剩余款项,相关费用可用于赔偿用户损失和支付合理费用等,包括但不限于赔偿极光、流量主等主体因您的行为导致的损失(如行政罚款、权利人索赔、用户赔偿,以及被没收的广告费等)。
- (6)暂停或终止返货/返点等优惠的发放(无论是否已经产生)以及收回已经发放的返货/返点等优惠,相关费用可直接从您极光平台账户中扣除(如果返货已经消耗的,则极光有权按照等值现金在您的极光平台账户内直接抵扣)。
- (7)扣除您已经支付的费用作为违约金归极光所有,不予退还(费用不足以赔偿极光损失的,您应予补足)。
- (8)封停账户,终止本协议,要求您承担违约责任等,同时,可以禁止您再次使用极光平台。
极光依据本协议采取相应措施(包括但不限于停止广告投放、暂停服务、扣除费用、终止协议等),不应视为极光违约。极光对您采取措施所引起的纠纷、责任等一概由您自行负责,若因此给您造成损失(包括但不限于相关数据清空、投放计划未能完成、剩余预付款作为违约金而归极光所有等)的,您应自行承担;造成极光或第三方损失的,您应独立承担赔偿责任。 - 4.4 若您、广告或推广对象等受到主管部门调查或第三方投诉,您应在3个自然日内妥善处理,否则,极光有权在按照本协议约定采取措施的同时,为维护投诉方合法权益,自主决定先行垫付费用用于处理纠纷及赔偿损失,相关费用极光有权在您已经支付的费用中直接扣除,或另行向您追偿。
- 4.5 如您受到主管部门调查或被第三方投诉,或您投诉第三方,极光有权将争议中相关方的主体资料、联系方式、投诉相关内容等必要信息(包括但不限于名称、电话、证照等)提供给相关方或主管部门,以便及时解决投诉纠纷,保护各方合法权益。
- 4.6 极光有权不定期以电话、电子邮件、短信、站内信、即时通讯工具等方式中的一种或多种向您发送与极光效果通广告服务有关的信息,包括但不限于营销活动、折扣优惠、新增服务类型、广告等。
- 4.7 为保护客户极光平台账户的安全,极光有权对超过一定期限未有操作的账户进行暂时冻结,如果您需要重新启用被暂时冻结的极光平台账户,您需要再次激活该账户。
- 4.8 极光有权根据业务经营需求,将本协议中的全部或部分权利与义务转让给极光的关联公司,但须提前30个工作日书面通知您。
五. 费用与发票

5.1 广告费充值
极光效果通广告服务采用预付费方式,您需保持极光平台账户内余额充足并及时续费,否则,会影响服务的使用。 -
5.2 广告费计算
- (1)广告费以人民币计算。极光平台可能提供CPC(点击计费)和CPM(千次广告展示计费)等不同的计费方式,具体以极光平台规则为准。
- (2)广告的投放次数、点击次数、曝光次数等消耗数据等均以极光后台数据为准。

5.3 发票
- (1)极光仅向您开具发票,不向任何第三方开具发票。极光按您实际支付的现金金额开具发票。您应提交开具发票申请及相应材料,包括但不限于充值记录截屏、发票抬头名称、税号、发票开具金额等。
- (2)您注册、使用极光平台及相关服务的申请被审核通过后,极光将在审核通过后的次月完成发票开具;相关发票一经交付至您指定的联系人或发送至您所填写的通讯地址,即视为极光已经完成了发票开具义务。
- (3)发票开具项目可为“广告服务费”或“广告发布费”,若您没有特殊说明,则默认开具“广告服务费”发票。
- (4)发票不可重复开具,因您递交材料错误造成的发票抬头、邮寄地址等信息错误,由您自行承担相应责任。

5.4 退款
您可申请对极光平台账户内现金部分剩余款项进行退款,但需同时满足下列条件:- (1)您已填写相关申请文件,并应在发票开具日期所在的当月将发票退回到极光,且您未对发票进行税务认证。
- (2)您没有任何未处理完毕的事宜,包括但不限于违规处罚、违约赔偿或投诉纠纷。
- (3)极光平台账户中的非现金部分(包括但不限于赠送的虚拟金、返货、信用等)不可退款。
- (4)极光收到您退回的完整、有效发票后,在次月内将按照您实际消费数额重新开具发票,并进行极光平台账户内现金部分剩余款项的退款。
- (5)您应自行妥善保管发票。您理解并同意,若无法退回极光已经开具的发票(包括但不限于以下情形:您已经对发票进行税务认证或者退回发票的时间已超过开票日期所在当月),则您需向极光提供开具红字发票的必要资料,才可申请退款;若无法退回极光已经开具的发票,或无法向极光提供必要资料开具红字发票的,则无法办理退款,后果由您自行承担。
- (6)对于极光尚未开具发票或已开具发票但尚未交付您的退款,无需您提供发票相关资料。
六. 返货/返点政策
- 6.1 极光可能根据业务发展的需要,独立自主制定或调整不同的返货/返点政策(包括但不限于返货/返点的计算规则、发放规则、罚没规则等),返货/返点政策的制定及调整以极光的最近一次的通知为准。新的返货/返点政策一经通知即对您产生约束力,您应当予以遵守。
- 6.2 极光效果通广告服务的返货将以虚拟金形式发放至您的极光平台账户;返点将以现金方式支付至您的银行账户(如果您需要变更银行账户的,须提前至少10个工作日书面通知极光或依照极光平台规则进行修改)。您须根据返点金额,提前至少30个工作日向极光提供开具红字发票的必要资料,如填开并上传《开具红字增值税专用发票信息表》等,以便极光开具红字发票进行返点。
- 6.3 若您逾期付款或有其他任何违反本协议约定的行为的,极光有权暂停或终止返货/返点政策的执行或依照返货/返点政策采取处罚措施;情节严重的,极光有权收回已经发放的返货/返点(如果返货/返点已经消耗的,则极光有权按照等值现金在您极光平台账户中直接抵扣)。
七. 保密
- 7.1 双方为了本协议之目的,已经或将会提供或披露某些保密信息。保密信息指由协议一方持有的与其业务、经营、技术及权利等事项相关的,非公开的信息(包括但不限于用户投诉处理方案、违规处理方案、诉讼情况等)、资讯、数据、资料。其中,披露信息的一方为“披露方”,而接受信息的一方为“接收方”。
- 7.2 除本协议另有规定的情况外,未经披露方事先书面同意,接收方不可为其自身业务目的或其他目的使用或向任何第三方披露任何披露方的保密信息。双方应保证本方雇员履行上述义务。

7.3 保密信息不包含下列任何信息:
- (1)在披露时已经被公众所知的信息;
- (2)在披露后,非因可归责于接收方的原因被公众所知的信息;
- (3)接收方不承担保密义务而从拥有正当权限的第三方合法获得的信息;
- (4)由接收方在没有参考披露方保密信息的情况下独立开发的信息;
- (5)由披露方以书面形式同意接收方可以进一步披露的信息,但仅限于披露方书面同意中规定的范畴。

7.4 接收方不会因为在遵守本条的规定下进行的披露而承担任何法律责任:
- (1)一方为实现本协议之目的,需向其员工、关联方及其员工或专业顾问等进行的信息披露。
- (2)因您使用的服务的产品规则(包括但不限于在线支付等功能)或该服务本身依据法律法规等的要求,需要向服务提供方提供相关主体必要信息的。
- (3)根据法律法规、司法机关、行政机关或证券交易所的规定、指令或要求,接收方必须披露任何保密信息的,但是,接收方应在可行并法律允许的条件下及时向披露方发出书面通知,并且应尽合理努力协助披露方寻求救济措施。如披露方未能获取救济措施,则接收方应尽合理努力仅提供被要求披露的那一部分保密信息。
- 7.5 保密义务不因本协议的解除、终止或撤销而失效。
八. 不可抗力及免责

8.1 因受不可抗力影响而不能履行或不能完全履行本协议的一方无需承担违约责任。
但是,遇有不可抗力事件的一方,应立即将事件情况书面通知对方,并应于5个工作日内出示有效证明。双方按照事件对协议的履行的影响程度,再行协商决定是否继续履行本协议或终止协议。 -
8.2 鉴于互联网之特殊性质,极光的免责事由亦包括但不限于下列任何影响极光平台正常运营之情形,极光应及时与相关单位配合进行修复:
- (1)黑客攻击、计算机病毒侵入或发作。
- (2)基础运营商或主管部门技术调整导致之影响。
- (3)由于您的原因(包括但不限于操作失误、系统故障等)导致的。
- (4)计算机系统遭到破坏、瘫痪或无法正常使用导致极光未能依约提供服务。
- (5)因法律、法规、政策调整或政府管制(政府专项行动等)而造成的暂时性关闭、服务调整等。
- (6)其它非极光过错造成的原因等。
九. 法律适用及争议解决
- 9.1 本协议签订地为中华人民共和国广东省深圳市南山区。
- 9.2 本协议的订立、履行、变更、终止、解除等一切问题均适用中华人民共和国大陆地区(仅为本协议之目的,不包括香港和澳门特别行政区和台湾)法律(不包括冲突法)。
- 9.3 若双方之间发生任何纠纷或争议,首先应友好协商解决;协商不成的,双方在此完全同意将纠纷或争议提交协议签订地有管辖权的人民法院解决。
十. 附则
- 10.1 本协议内容包括协议正文及所有与极光平台相关的已经发布的或将来可能发布的各类极光平台规则。上述内容为本协议不可分割的一部分,与本协议正文具有同等法律效力。您在使用极光平台服务时,应予遵守。
- 10.2 本协议以数据电文形式签订,自您在极光平台点击“同意”或“确认”(具体文案以极光平台最终展示为准)后生效,双方均认可其法律效力。

10.3
双方合作期限自您确认接受本协议当天起至点击确认当年最后一个自然日止,比如2018年6月1日至2018年12月31日。期限届满前任何一方均未书面提出到期不续约的要求的,双方合作期限限将自动顺延1年,顺延次数不限。
任何一方均有权提前30个自然日书面通知对方,终止本协议。双方应按照本协议约定结清费用,并妥善处理用户投诉、违约金、赔偿款以及退款等相关事宜(如有)。 - 10.4 若本协议有效期限与您使用极光效果通广告服务的期限不一致的,则本协议有效期自动涵盖您使用极光效果通广告服务整个期间。除非双方另有约定或重新签订同类协议,本协议在您使用极光效果通广告服务期间持续有效。
- 10.5 如本协议的任何条款被视作无效或无法执行,则除上述条款可被分离外,其余部分条款则仍具有法律效力。
在注册、使用深圳市和讯华谷信息技术有限公司(简称“极光”,官方网站:https://www.jiguang.cn)提供的SSP媒体服务前,请您认真阅读本协议条款及条件。注册或使用极光SSP媒体服务系统即表明您接受了本协议条款及条件。如果您不接受本协议条款及条件,请不要注册或使用极光SSP媒体服务系统。您与极光的本协议构成极光SSP媒体服务系统的标准条款及条件。“您”指注册表格中登记的任何实体,该注册表格由该实体或其关联方、任何代理机构或其他您授权可访问您账户和/或计划资料的第三方来提交,其亦应受本协议条款及条件的约束。极光有权随时修改本协议,只需公示于极光官方网站相关页面等,而无需征得您的事先同意,请您注意留意更新版本。修改后的条款于公示之时生效。在极光修改本协议条款后,如果您不接受修改后的条款,请您立即停止使用极光SSP媒体服务系统,您继续使用极光SSP媒体服务系统将被视为您已接受了修改后的条款。如您有任何疑问或问题均可以向极光发送电子邮件或向极光投递信件(邮箱: sales@jiguang.cn,地址:深圳市南山区湖滨中路智恒产业园7栋3层)。
一. 定义
1.“极光SSP媒体服务系统”:是极光推出的一款面向移动应用开发者(简称“用户”)的媒体管理软件(以下简称“本系统”)。本系统仅为中立的技术工具。
2.“用户”:是指在极光注册或使用SSP媒体服务系统的移动应用开发者/运营商注册用户,通过极光提供的软件使用授权并获得软件产品非独家的、可撤销的、不可转让的许可的个人或单一实体。
3.“中国”,是指中华人民共和国,仅为本协议之目的,不包括香港和澳门特别行政区、台湾地区。
二. 用户申请资格

1、只有符合下列条件之一的自然人或法人才能申请成为本系统用户:
- 1) 年满十八岁,并具有完全民事权利能力和民事行为能力的自然人;
- 2) 根据中国法律、法规、行政规章成立并合法存在的法人组织、机关、企事业单位、社团组织和其他组织。无以上资格的单位或组织不当注册为本系统用户的,其与本系统之间的协议自始无效,本系统一经发现,有权立即终止对该用户的服务,并追究其使用本系统服务的一切法律责任。
- 2、用户需要提供明确的联系地址和联系电话,并提供真实姓名或名称。
- 3、本系统用户须承诺遵守法律法规、社会主义制度、公共秩序、社会道德风尚,保证信息真实性,维护国家利益、公民合法权益。
三. 用户的权利与义务
- 1、用户保证从正规渠道获取极光SSP媒体服务,用户需凭本系统账户、密码登录和使用极光SSP媒体服务,用户应自行管理好账号和密码,并对其使用和丢失账号及密码自行承担责任,并保证其本系统账号、密码未授权使用或者发生其他任何安全问题时,立即通知极光。
- 2、用户可以使用本系统对账户内的信息进行修改。
- 3、用户保证注册本系统账号时,所提供的资料真实无误,如因用户提供虚假信息,而使其自身遭受的损失由用户自行承担。用户账号归极光所有,用户仅享有账号的使用权。用户承担账号、密码的保管责任,并就账号、密码项下之一切活动承担责任。
- 4、用户必须通过正确的系统登录并使用本系统,通过其他形式登录、使用本系统所造成的后果,极光将不承担任何责任。

5、本系统仅提供中立的技术服务,用户承诺按照法律法规规定以及本协议约定使用本系统以及相关功能,保证不得利用本系统从事违反国家相关法律法规的一切活动,包括但不限于:
- (1) 使用本系统服务或本系统客户端软件上载、传送、存储或以其它方法散布任何非法的、诽谤的、骚扰性的、侮辱性的、欺诈的、淫秽的或含有病毒的、或其它违法不妥当的内容;
- (2) 上载、传送或散布侵犯其他方知识产权、商业秘密或其它所有权、合同或信托权利等合法权利的内容;
- (3) 阻止他人使用该软件;
- (4) 为任何欺诈或不当目的使用服务;
- (5) 通过极光SSP媒体服务软件误导或欺骗他人的活动;
- (6) 发布、传播违反国家法律、扰乱国家社会稳定的内容;
- (7) 进行危害设备网络安全的行为。
- 6、除非得到极光的书面授权,任何用户不得以复制、翻译、修改、反汇编、出售、转租等形式对极光SSP媒体服务系统软件进行破坏,以及将软件用于本协议目的之外的用途。
- 7、用户不得破坏本系统的知识产权。
- 8、用户保证对其自身的操作以及因其自身的操作引起的任何后果负责。
- 9、用户了解本系统服务中可能包含由第三方提供的服务,极光只是为了用户的便利而提供功能模块。用户使用第三方提供的服务,需与第三方另行达成服务协议,支付相应的费用并承担可能的风险。极光对第三方所提供的服务不承担任何形式的担保和责任。
- 10、用户完全了解并理解本系统中的推广物料,系由第三方上传,可能存在法律风险,用户在发布、编辑这些推广物料之前,已充分审查考虑此风险,由此所产生的法律后果完全由用户自行承担。
- 11、用户承诺对本系统仅用于媒体发布、编辑等必要用途,不用于本协议目的之外的其他目的或用途,若一经发现,极光有权取消该用户的权限,并不予任何补偿。
四. 极光的权利和义务
- 1、极光提供的软件不含有任何破坏用户设备数据和获取用户隐私信息的恶意代码,不含有任何跟踪、监视用户设备和或操作行为的功能代码,不会监控用户网上、网下行为或泄露用户隐私。
- 2、极光对任何服务与该客户端软件或任何其他客户端软件的可用性、及时性、安全性或可靠性不承担任何责任或义务。
- 3、极光保留可以以任何理由,无须通知的情况下对服务作出修改、暂停或中断的权利,而且对上述修改、暂停或中断不承担任何责任。

4、极光将采取合理的措施保护用户的信息,保证不得向任何第三方公开、泄露,以下信息除外:
- (1) 非由于极光的原因已经为公众所知的;
- (2) 由于极光以外其他渠道被他人获知的信息,这些渠道并不受保密义务的限制;
- (3) 由于法律的适用、法院或其他国家有权机关的要求而披露的信息;
- (4) 用户在使用本软件时,同意将其自身的信息公开。用户保证自行承担因此可能产生的风险,极光不承担因此所造成的一切损失。
- 5、极光会建立安全体系,最大化保护用户的利益,但极光也无法杜绝非安全的其他因素存在。用户在此了解并同意极光对此所作出的一切努力,并同意不向极光追究因此所造成的一切损失。
- 6、费用支付问题,极光会在相关地方明示。目前本系统为免费软件。
- 7、极光保留可以以任何理由,无须通知的情况下替换、更新、升级本系统软件新版本。
- 8、极光有权依据市场以及技术发展向用户提供与本系统相关的其他服务,包括免费和收费服务。极光将以适当的方式通知用户,用户可以选择接受或者拒绝服务。
五. 知识产权
- 1、极光拥有本系统软件的著作权、商标权、专利权、商业秘密以及其他相关的知识产权的合法权益,其它本协议中未经提及的权利亦由极光保留。
- 2、非经极光书面同意,任何人不得擅自使用、修改、复制、编译、反向工程、公开传播、改变、散布、发行或公开发表本系统上的网站程序或内容。
- 3、未经极光书面同意,用户不得为任何营利性或非营利性的目的自行实施、利用、转让、进行二次开发或许可任何第三方实施、利用、转让上述知识产权。
六. 违约责任
- 1、如用户的服务或其业务运营存在违反或可能违反国家法律法规、政策规定、行业规范或本协议约定的内容或行为,极光有权暂停或终止合作。对极光及极光客户造成负面影响的或者有侵犯或可能侵犯极光、极光客户、其他第三方合法权益及极光用户体验的,极光有权暂停或终止用户的账户,并停止支付相关费用和/或追回已支付的全部分成费用。极光有权根据事态严重程度决定是否通知该用户限期整改并报告整改结果。整改后符合协议要求的,可以恢复合作,分成费用重新计算;用户拒绝整改、不按期限整改或整改不合格的,极光有权终止该用户的账户。情节严重,移交相关部门处理。本协议另有约定的,从其约定。
- 2、用户承诺其向极光提交的任何资料的真实性。一旦极光发现用户提供虚假信息或采取其它欺骗手段,极光有权暂停或终止用户的账户,并保留追究用户责任的权利。
- 3、若用户违反本协议,则极光保留进一步追究责任的权利,违约的用户必须承担因此给极光带来的所有损失。
七. 免责条款
对于以下情形,极光不承担任何责任:
- 1、用户违反本协议条款的约定,导致行政处罚、第三方主张的任何损失或索赔等;
- 2、用户应自行承担使用本软件所产生的风险或责任,包括但不限于直接或间接损害;
- 3、互联网服务中受到各种环境因素的影响,存在因设备病毒、黑客攻击、系统不稳定以及其他网络、技术、通讯线路等不可抗力原因造成服务器中断或不能满足用户要求的风险,极光不承担责任,但因技术故障等不可抗力事件影响到服务器的正常运行的,极光应在第一时间内与相关运营商/单位配合,及时处理进行修复。
- 4、使用本软件的服务过程中,可能存在他人冒名、匿名、威胁、诽谤的行为,用户需对此风险自行承担责任。
- 5、用户在使用本软件的过程中,一方可能因欺诈等行为侵犯另一方的权利时,导致另一方经济、精神上受到损失或伤害,由过错方依法承担责任。
- 6、极光不保证本系统在操作上不会中断或没有错误,不保证极光会纠正本系统的所有缺陷,亦不保证本系统能满足用户的所有需求。
- 7、在法律允许的范围内,任何一方均无须就数据的丢失和/或损坏及任何间接的、后果性的损失向另一方承担赔偿责任,包括但不限于损失的利润或其他经济损失。
八. 法律及争议解决
- 1、本协议适用中华人民共和国法律法规。如遇本协议有关的某一特定事项缺乏明确法律规定,则应参照通用国际商业惯例和(或)行业惯例。
- 2、因双方就本协议的签订、履行或解释发生争议,双方应努力友好协商解决。如协商不成,任何一方均有权将争议递交深圳市南山区人民法院管辖。
九. 协议的转让
除非取得极光的事先书面同意,用户不得将其在本协议项下的权利与义务转让给任何第三方。
十. 其他
- 1、本协议构成用户和极光之间就使用本系统的完整的协议,并取代双方就有关本协议所载任何事项于先前以口头及书面达成的共识。
- 2、如本协议的任何条款被视作无效或无法执行,则上述条款可被分离,其余部分则仍具有法律效力。
- 3、本协议的标题仅为方便阅读所设,非对条款的定义、限制、解释或描述其范围或界限。
- 4、在用户过失或违约时极光放弃本协议规定的权利的,不得视为极光对用户的其他或以后同类之过失或违约行为弃权。
- 5、本协议的最终解释、修订权归属极光。
